Forming a New Mexico LLC: Secretary of State Steps and Fees
New Mexico runs one of the leanest LLC systems in the country. The official filing fee is $50, set by NMSA 1978, § 53-19-63(A), and once your company exists the Secretary of State never asks it for an annual report. Formation happens entirely online: the New Mexico Secretary of State, Business Services Division stopped accepting paper for business applications, so every filing goes through the enterprise portal at enterprise.sos.nm.gov. There is no numbered paper form to download and no mailing address to find, which removes a whole category of beginner mistakes.
Why an LLC in New Mexico
A limited liability company puts a legal wall between the business and the person who owns it. Creditors and plaintiffs claim against the company's assets, not your house or savings, so long as you keep company finances genuinely separate from personal ones. New Mexico adds two sweeteners of its own: the lowest tier of filing fees anywhere, and no recurring report obligation for LLCs at all. Owners who value a quiet, low-maintenance entity tend to shortlist this state for exactly those reasons.
What Filing Actually Requires
Formation is authorized by NMSA 1978, § 53-19-7, and the content of the Articles of Organization is spelled out in § 53-19-8. In practice the portal walks you through the required entries: a compliant company name, the registered agent and registered office, the principal place of business, and duration if you want something other than perpetual. Street addresses are required in the filing; the portal will not take a PO box for the registered office.

Get Started- Settle on a name the state will accept. The name must contain "limited liability company", "LLC", or "L.L.C." and must be distinguishable from every entity already on record. Run it through the Secretary of State's business search on the portal before you commit to logos or domains.
- Appoint a registered agent. Under NMSA 1978, § 53-19-5, the agent is either an individual who lives in New Mexico or a corporation, LLC, or partnership (domestic, or foreign and authorized here) whose place of business matches the registered office. - File the Articles of Organization through the enterprise portal. Create an account at enterprise.sos.nm.gov, complete the Articles of Organization application, and pay the $50 fee by card. This is the only way to file: the SOS no longer accepts paper for any business application, so ignore any guide telling you to print and mail a form. There is no form number because there is no form, just the online application.
- Write an operating agreement. New Mexico never sees this document, but your bank will ask for it and a court will read it if members ever disagree. It records ownership percentages, voting rules, profit splits, and exit terms. Without one, the default rules of the LLC Act decide those questions for you.
- Get your EIN from the IRS. The federal tax ID is free at IRS.gov and usually issued on the spot. It unlocks business banking, hiring, and federal filings. Nobody should ever charge you for this step.
- Set up your ongoing obligations. There is no annual report and no franchise tax here. Your two recurring duties are keeping a registered agent and registered office continuously on file with the SOS, and handling taxes. Most active businesses register with the New Mexico Taxation and Revenue Department for gross receipts tax, which is a tax matter entirely separate from the Secretary of State.
